Board and committee members of incorporated and unincorporated associations have become increasingly subject to legal liability for their actions in carrying out their duties. Board members have legal obligations under both statute and at common law.  

Incorporation helps protect board members from personal liability. There are obligations and limitations placed on such Associations and their members under the Associations Incorporations Act (1981) Vic, and its equivalent act in each state or territory. Board members must also be aware of the directors’ duties under the Corporations Act 2001 (Cth).  

Under the common law, committee members are likely to be held under the duty of care and diligence and the duty of loyalty and good faith.
